LETTER from the IIC CHAIRMAN addressed to all Polish members and former members of the IIC and of the IIC Poland Chapter.

The Office of the Chairman is aware of the recent conflict between
members of the Poland Chapter of the IIC and the commercial firm
Polski Instytut Kontroli Wewnętrznej - PIKW. Although the IIC does not usually involve itself in such conflicts,
it must do so if the effects of the conflict have a direct effect on
the operations of the local chapter and the well-being of members of
the IIC.

In accordance with the above, the concerns addressing the IIC
itself, the IIC Poland Local Chapter, and PIKW are addressed below.
1. I am aware that IIC Poland Chapter is in the process of upgrading
it administrative infrastructure, so as to better serve the needs
and interests of its Members.
Be advised that I personally will be reviewing the operations of the
Poland local chapter and will make a decision regarding its
operations going forward. Until my review is complete I have
appointed Eddie Saunders, the IIC Head Coordinated for European
Operations, to handle all operations of the Poland local chapter.

2. In accordance with the above and the authority of the IIC
Chairman, all elected officers of the local chapter of the IIC are
removed from their position(s). In my capacity as Chairman, I hereby
appoint the following officers of the Poland Chapter of the IIC, to
serve in the noted positions, for a term starting on October 6, 2014
and ending December 31, 2016. Note that I will continue to have the
discretion of removing any officer whose activities are shown not to
be for the good of the IIC and the local chapter. The appointed
officers for the term noted above are:

President: Edmund (Eddie) Saunders
Vice President: Robert Michniewicz
Treasurer: Jarosław Czerechowski
Secretary: Lech Skowron


3. It is noted that the Poland Chapter of the IIC is totally
independent of PIKW.
Although it was understood that the PIKW
was used to assist in the operations of the Poland Chapter of the
IIC under special agreements, there has been evidence produced that
the PIKW had been exploiting its past connection with the Poland
Chapter of the IIC, to promote its commercial activities by using
the IIC name, logo and CPE credits, without authorization from the
IIC.
It is reiterated that the PIKW has no affiliation with the Poland Chapter of the IIC and is not authorized to use the name, logo/seal, or NASBA number of the IIC or of the Poland Chapter of the IIC.

4. It is important that members of the local chapter and the IIC are knowledgeable of the authorization for local chapters to operate.
Specifically:
a. All local chapters of the IIC are authorized to operate by the IIC Chairman.
b. Authorization to operate as a local chapter can be rescinded at
any time by the IIC Chairman with 60 days notice for operational
issues, or immediately upon notice for cause. Cause is defined as
any illegal or unauthorized activity and activities that are to the
detriment of the IIC.
c. Although country and state/providence laws authorize local chapters to operate as a legal entity, that is, a corporation, association, foundation, or similar legal entity, this has no effect on the authorization to operate as a local chapter of the IIC. Such legal entities are typically required for operations such as tax filings, to open bank accounts, and to enter into legal contracts.
d. All initial officers of the local chapter are typically appointed by the IIC Chairman for a limited term or until approved elections are ratified by the IIC Chairman.
Subsequent officers are elected by the membership for a limited term. Any elected officer must be a member in good standing of the IIC. All elections and appointments must be approved by the IIC Chairman.
e. Any elected officer whose membership in the IIC is terminated for non-renewal or cause cannot hold any office in the local chapter as of the membership termination date as noted in the IIC Code of Professional Standards.

f. No officer may use his/her position as an officer of the IIC local chapter to further his/her commercial business; this includes any dealings with the local chapter itself or its members. No officer of the local chapter may
receive payment from the local chapter or from its members. This includes bookkeeping/accounting work, fees for training either as an instructor or via a training company, and speaking engagements on behalf of the local chapter. This list is not inclusive. Any listed or non-listed activities should be referred to the IIC Chairman. Any
exception to the above can only be made by the IIC Chairman.
g. No officer of the local chapter may receive any remuneration
(whether tangible or intangible) from the local chapter or chapter
activities, or any vendor who is retained by the local chapter to
conduct activities on behalf of the local chapter. Exceptions to
this must be approved by the IIC Chairman in advance.
All awardees of the CICA or CCS professional designation are reminded that they MUST maintain their membership in the IIC in order to hold the CICA or CCS certification. Any individual whose membership has lapsed cannot hold themselves out as a CICA or CCS. Doing so is a violation of both the IIC Code of Ethics and the IIC Code of Professional Standards (Section II - Membership).
In addition, all members are reminded that they must complete 40 hours of Continuing Education as outlined in the IIC CPE Policy.
